1. Agreement to Terms

By accessing or using the services provided by Digipahad (“Company”, “we”, “us”), including our website at digipahad.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Digipahad provides digital services including but not limited to: website and application development, AI integration and consulting, business automation, social media AI management, and enterprise security solutions. The specific scope, deliverables, and timelines for each project will be defined in a separate project agreement or statement of work (SOW).

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information required for the project
• Respond to requests for feedback and approvals in a timely manner
• Ensure you have the necessary rights to any content you provide us
• Make payments according to the agreed payment schedule
• Not use our services for any illegal or unauthorized purpose

4. Intellectual Property

4.1 Client Content

You retain ownership of all content, materials, and data you provide to us. By providing content, you grant us a limited license to use it solely for the purpose of delivering the agreed services.

4.2 Deliverables

Upon full payment, ownership of custom-developed deliverables transfers to you, unless otherwise specified in the project agreement. We retain the right to use general techniques, knowledge, and experience gained during the project.

4.3 Third-Party Components

Our deliverables may include third-party libraries, frameworks, or tools subject to their own licenses. We will inform you of any significant third-party dependencies.

5. Payment Terms

Payment terms, including amounts, milestones, and schedules, will be outlined in the project agreement. Unless otherwise agreed, invoices are due within 15 days of issuance. Late payments may incur additional charges as specified in the project agreement.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the agreement for a period of two (2) years.

7. Limitation of Liability

To the maximum extent permitted by law, Digipahad shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services. Our total liability shall not exceed the total fees paid by you for the specific service giving rise to the claim.

8. Warranties and Disclaimers

We provide our services with reasonable skill and care. However, we do not guarantee that our services will be uninterrupted, error-free, or that they will meet all of your expectations. All services are provided “as is” to the extent permitted by law.

9. Termination

Either party may terminate a project agreement with 30 days' written notice. Upon termination, you are responsible for payment for all work completed up to the termination date. We will provide all completed deliverables and assist with a reasonable transition period.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Your continued use of our services after changes constitutes acceptance of the revised terms.
